What the 2026 Estate and Gift Tax Exemption Really Means for Business Owners

For the past several years, business owners doing estate planning were racing against a deadline: a scheduled reduction in the federal estate and gift tax exemption that was set to roughly cut it in half. That deadline is gone. The One, Big, Beautiful Bill Act permanently raised the combined gift, estate, and generation-skipping transfer exemption to $15 million per individual ($30 million for a married couple) for 2026, indexed to inflation going forward.

That’s genuine, welcome relief, particularly for business owners whose net worth is concentrated in an illiquid, hard-to-value asset. It removes the artificial urgency that pushed many families into rushed gifting strategies or complex trust structures built primarily to beat a clock.

But while higher exemptions change the calculus of estate planning for business owners they don’t eliminate the need for it. A handful of realities are worth sitting with. First, a successful sale can push a family’s estate well past even a $15 or $30 million threshold quickly, especially once sale proceeds are invested and continue to grow. Second, the exemption amount is a snapshot; it’s indexed to inflation but still subject to future legislative change, and planning built entirely around today’s threshold carries some risk. Third, generation-skipping considerations, such as passing wealth to grandchildren rather than children, involve their own rules and complexity that a larger exemption doesn’t resolve on its own.

There’s also a planning opportunity the higher exemption makes easier, not harder: because families have more room before exemption limits become a concern, there’s more flexibility to structure a business sale thoughtfully, like gifting or trust-funding ownership interests before a transaction, freezing today’s valuation for estate purposes, and separating governance decisions from tax decisions, without being rushed by a deadline.

It’s also worth remembering that exemption amounts have moved before and can move again with future legislation. Building a plan that only works if today’s $15 million threshold stays exactly where it is leaves a family exposed to a level of political and legislative risk that’s avoidable with more flexible planning structures that work reasonably well across a range of future exemption levels, not just the current one.

The relief from 2026’s legislative changes is real. So is the fact that a business sale remains one of the most significant estate-planning events a family will experience. A higher exemption is a better starting point for that planning, not a reason to skip it.
